Legal status of ILM
The Institute of Leadership and Management (ILM) is both a UK registered charity in England & Wales (248226) and in Scotland (SC039693) and a UK registered company limited by guarantee (601049). Its registered office is 1 Giltspur Street London EC1A 9DD.
The Constitution
Under its Memorandum of Association, the objects for which ILM is established are:
- the promotion and development of the science of management in industry, trade, commerce and the public sector
- the advancement of education, particularly industrial and commercial education, involving the study of the skills of management for the benefit of the community in the fields of industry, trade, commerce and the public sector.
ILM’s Articles of Association cover matters relating to membership, general meetings, the Board, the Advisory Council, local organisation, accounts and notices.
Members may obtain copies of the Memorandum and Articles from the Company Secretary c/o the registered office, or by emailing membership@i-l-m.com and marking the request for the attention of the Company Secretary.
Under the Articles the ILM Board is required to issue Bye-Laws in relation to some matters, has the specific power to issue others, and may in addition issue any which it deems necessary, expedient or convenient for the proper conduct and management of the Institute. The current Bye-Laws relate to Membership, Studying Membership, Election of directors, Faculties and the Advisory Council.
The Board
The Board is responsible for ILM's strategic direction, for ensuring that its business is conducted in accordance with its charitable aims, and for monitoring its operations and overall performance. As ILM is both a charity and a company, Board members are both charity trustees and company directors.
The Board consists of nine directors, of whom:

five (the “Appointed Directors”) are appointed by the Institutional Member, The City and Guilds of London Institute, for whatever period it specifies; and

four (the “Elected Directors”) are Voting Members elected by the Voting Members, who serve from the AGM at which they take office until the next AGM but one.
The Chairman and Deputy Chairman are appointed by the Board from time to time.
The names of the directors as at the end of each financial year are set out in the Report and Financial Statements for that year.
The Board normally meets 4 to 6 times per year.
The Board has power to delegate authority to the Chief Executive who is responsible for the executive management of ILM.

Advisory Council
The function of the Advisory Council is to advise ILM on developments and strategies to help it achieve its charitable mission of building leadership and management capability. Its terms of reference, responsibilities and other matters are contained in Bye-Law 5. The Council normally meets twice a year (more often if required). Find out more about the Advisory Council here.
